THE BY-LAWS OF SAFESIDE ASSOCIATION, INC. ARTICLE I Name This organization shall be known as Safeside Association, Inc. ARTICLE II Purpose The corporation is a non-profit association and is formed for the purpose described in the Articles of Incorporation. ARTICLE III Board of Directors Section 1: The first Board of Directors are those selected by the incorporators and are to serve until their replacements are elected and qualify, other than the initial term set by the Articles of Incorporation. The office of Director shall have a three (3) year term. The election will take place at the Annual Meeting when the term expires. Section 2: The Annual Meeting of the Directors shall take place on the call of the President. Section 3: Directors whose terms have expired shall be elected at the Association’s Annual Meeting by a majority vote of the membership present. Section 4: The President shall conduct the election of officers at the Annual Meeting. Nominations may be made by members of the Safeside Association by e-mail, mail or from the floor. ARTICLE IV Election of Association Officers Section 1: The members of the Association shall elect from its membership a President, a Vice-President, a Treasurer, a Secretary, and Board of Directors. Section 2: The election shall be held at the annual meeting. Section 3: Other positions and committee officers deemed necessary may be appointed and serve at the pleasure of the President. ARTICLE V Management of the Association Section 1: The affairs of the Association shall be managed by the Board of Directors. Section 2: A quorum of directors shall consist of three (3) directors. Section 3: The directors may determine time and frequency of meetings in addition to the Annual Meeting. ARTICLE VI Duties of Officers Section 1: THE PRESIDENT. The President shall preside at all meetings of the Association, the Board of Directors and the Executive Committee. At each Association Meeting the President shall report on the current situation of the Corporation. Section 2: THE VICE-PRESIDENT. The Vice-President shall assume the responsibilities of the President during the latter’s absence and shall have such additional responsibilities as may be delegated by the President. Section 3: THE SECRETARY: The Secretary shall record and preserve the proceedings of the meetings of the Association, the Board of Directors and the Executive Committee; handle relevant correspondence and, after approval by the Executive Committee promulgate notices and announcements of Association business. Section 4: THE TREASURER. The Treasurer shall receive dues and be responsible for the safekeeping of the dues and of such other funds as may be acquired; disburse money only with the approval of the Executive Committee and report at each Annual Meeting of the Association the state of the treasury. Disbursement of funds shall require the signatures of two (2) officers of the Association. Section 5: THE EXECUTIVE COMMITTEE. The President, Vice-President, Secretary and Treasurer shall constitute the Executive Committee. The foregoing By-Laws were adopted by the Board of Directors on the ____day of ____, 2005. |
